Terms of Service

Last Updated: May 18, 2026

These Terms of Service (“Terms”) govern your access to and use of the Vortexify platform, website, APIs, applications, and related services (collectively, the “Services”) operated by Vortexify, Inc. (“Vortexify,” “we,” “our,” or “us”), formerly PraxisAI, Inc.

By accessing or using the Services, you agree to be bound by these Terms.

If you are using the Services on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms.

1. Eligibility

You must be at least 13 years old to use the Services.

The Services are intended primarily for business and professional use.

You may not use the Services if:

  • your use would violate applicable law,
  • you are prohibited from receiving the Services under applicable laws,
  • or your account has previously been suspended or terminated by Vortexify.

2. Accounts

You may be required to create an account to access certain features of the Services.

You agree to:

  • provide accurate and complete information,
  • maintain the confidentiality of your credentials,
  • promptly notify us of unauthorized access,
  • and remain responsible for all activity under your account.

Vortexify may suspend or terminate accounts that violate these Terms or create security or operational risks.

3. Description of Services

Vortexify provides an AI-powered platform for building, deploying, managing, and operating data-driven full stack applications and workflows.

The Services may include:

  • AI-assisted application generation,
  • workflow orchestration,
  • dataset ingestion,
  • connector integrations,
  • sandboxed execution environments,
  • collaborative workspaces,
  • public and private app publishing,
  • and related infrastructure services.

We may modify, improve, suspend, or discontinue portions of the Services at any time.

4. Subscription Plans and Billing

Certain features require a paid subscription.

Subscriptions:

  • are billed in advance,
  • renew automatically unless canceled,
  • and may change in pricing upon reasonable notice.

Payments are processed by third-party providers such as Stripe. Vortexify does not store full payment card information.

You authorize Vortexify and its payment processors to charge applicable subscription fees, taxes, and renewals to your selected payment method.

Failure to pay may result in suspension or termination of access.

5. Refund Policy

Refund requests may be considered during an active subscription period in cases involving severe or persistent performance issues materially affecting the functionality of the Services.

Refund eligibility and determinations are made solely at Vortexify’s discretion.

Except where required by law, all fees are otherwise non-refundable.

Accounts terminated for abuse, malicious activity, or violations of these Terms are not eligible for refunds.

6. User Content and Data

You retain ownership of:

  • datasets,
  • uploaded files,
  • prompts,
  • application content,
  • generated applications,
  • workflow configurations,
  • code,
  • and other materials submitted through the Services (“User Content”).

You grant Vortexify a limited, worldwide license to host, process, store, transmit, display, and use User Content solely for:

  • operating the Services,
  • improving functionality,
  • maintaining security,
  • providing support,
  • and fulfilling contractual obligations.

You represent and warrant that:

  • you own or have rights to your User Content,
  • your use of the Services does not violate applicable laws or third-party rights,
  • and you have obtained all required permissions for submitted data.

7. Ownership of Generated Applications and Outputs

Subject to these Terms, users retain ownership of applications, workflows, and content they create using the Services.

Vortexify retains ownership of:

  • the Services,
  • platform infrastructure,
  • orchestration systems,
  • APIs,
  • proprietary tooling,
  • workflow infrastructure,
  • routing logic,
  • system prompts,
  • platform-level prompt engineering,
  • software frameworks,
  • and all related intellectual property.

Customers may provide prompts, instructions, datasets, and configuration inputs through the Services. However, Vortexify maintains proprietary orchestration systems, safety systems, and platform-level operational logic used to operate the Services.

AI-generated outputs may not be unique. Similar or identical outputs may be generated for other users.

Vortexify does not guarantee exclusivity of generated outputs.

8. User Responsibility for Deployed Applications

Users are solely responsible for:

  • reviewing and validating generated code,
  • configuring application permissions and access controls,
  • securing deployed applications,
  • protecting secrets and credentials exposed through user-managed logic,
  • testing generated applications before production deployment,
  • and monitoring applications built or deployed using the Services.

AI-generated code and outputs may contain:

  • bugs,
  • inaccuracies,
  • vulnerabilities,
  • insecure patterns,
  • or incomplete logic.

Vortexify does not warrant that generated outputs are secure, error-free, or suitable for production use without independent review and testing.

Users assume responsibility for:

  • vulnerabilities introduced through deployed application logic,
  • insecure configurations,
  • public data exposure resulting from user actions,
  • or misuse of generated outputs.

Vortexify remains responsible for maintaining commercially reasonable safeguards for infrastructure and managed systems operated directly by Vortexify.

9. Public Applications and Sharing

The Services may permit users to publish or publicly share applications, workflows, or generated outputs.

You are solely responsible for:

  • reviewing permissions before making content public,
  • ensuring no confidential or regulated data is exposed,
  • and managing access controls for publicly shared applications.

Vortexify is not responsible for data exposure resulting from user-configured sharing settings or insecure application logic.

10. AI Features and Model Providers

The Services utilize artificial intelligence systems and third-party AI providers, including OpenAI and Anthropic.

Customer-submitted data is not provided to third-party AI providers for training their general-purpose models.

Third-party providers may temporarily retain requests and metadata according to their own policies and legal obligations.

AI-generated outputs:

  • may contain inaccuracies,
  • may be incomplete,
  • and should be independently reviewed before use in production or business-critical environments.

11. Security and Infrastructure

Vortexify implements commercially reasonable administrative, technical, and organizational safeguards designed to protect customer data.

Security measures may include:

  • encryption at rest,
  • encryption in transit,
  • isolated VPC-based infrastructure,
  • credential vaulting and secret management,
  • role-based access controls,
  • audit logging,
  • organization and workspace-level permissions,
  • and sandbox isolation mechanisms.

Stored credentials and authentication tokens are encrypted and managed through secure credential management systems.

Authorized Vortexify personnel may access customer data only when reasonably necessary for:

  • customer support,
  • troubleshooting,
  • security operations,
  • legal compliance,
  • or platform maintenance, subject to internal access controls and confidentiality obligations.

12. Availability and Maintenance

Vortexify targets high platform availability but does not guarantee uninterrupted or error-free operation.

Scheduled maintenance windows may occur periodically. Where reasonably practicable, advance notice may be provided.

Temporary interruptions may occur due to:

  • maintenance,
  • infrastructure failures,
  • third-party outages,
  • security incidents,
  • or events outside Vortexify’s reasonable control.

13. Acceptable Use

You agree not to:

  • use the Services for unlawful purposes,
  • upload malicious code, malware, spyware, ransomware, or harmful scripts,
  • attempt unauthorized access to systems or data,
  • reverse engineer or disrupt the Services,
  • generate sexually explicit or unlawful content,
  • conduct phishing or credential theft,
  • facilitate cyberattacks,
  • deploy ransomware,
  • evade security controls,
  • abuse sandbox environments,
  • infringe intellectual property rights,
  • or engage in harmful or deceptive conduct.

Violations may result in immediate suspension or termination without refund.

14. Public Content Moderation and Takedowns

Vortexify reserves the right to remove or restrict publicly shared applications or content that we determine, in our sole discretion, to be:

  • unlawful,
  • sexually explicit,
  • hateful,
  • abusive,
  • harmful,
  • malicious,
  • deceptive,
  • or otherwise inappropriate.

Accounts involved in severe or repeated violations may be suspended or permanently terminated without refund.

First-time violations may, at Vortexify’s discretion, receive partial or full refunds.

15. Third-Party Services

The Services may integrate with third-party services and connectors.

Your use of third-party services is governed by their own terms and privacy policies.

Vortexify is not responsible for:

  • third-party systems,
  • outages,
  • integrations,
  • or third-party data handling practices.

16. Data Retention and Deletion

For standard accounts, customer data is generally retained until deleted by the customer or account owner.

Deleted customer data is removed from active systems and backup systems according to internal deletion procedures and retention schedules.

Enterprise customers may be subject to separate agreements governing:

  • retention periods,
  • deletion windows,
  • audit requirements,
  • and compliance obligations.

17. Intellectual Property

The Services and all associated technology are owned by Vortexify and protected under applicable intellectual property laws.

Except as expressly permitted, you may not:

  • copy,
  • distribute,
  • sublicense,
  • modify,
  • reverse engineer,
  • or create derivative works from the Services.
